Submission

The application can be submitted electronically without a signature.

General remarks:
According to current legislation, applications must be signed by the person submitting the application. With a view to the greatest possible customer orientation and efficient and simple business processing, the office is dispensing with the signature in this case and instead offering the option of electronic submission using a form and without a signature. The signature can be requested subsequently if necessary.The application using a form does not require a physical signature, as the application using eID replaces the physical signature in the official procedure.In addition, no public notarization is required for the formation of a GmbH in the simplified procedure.For more information, see also: Instruction sheets and guidelines

 

Note on the company name

It is recommended to check the desired company name for availability before submitting the form (request by e-mail to info.hr.aju@llv.li). 

Prerequisites

The form for the digital formation of a limited liability company (GmbH) can only be used if a so-called one-person company with only one shareholder and one managing director is to be formed. In all other cases, the application for entry in the Commercial Register Division must be made in physical form

Necessary documents and information

  • Certificate of capital contribution from the bank as a pdf document
  • Declaration of acceptance by the auditors (if no review waiver has been selected) as a pdf document
  • Sample signature of the managing director as a pdf document including notarized signature

CHF 50.00 (registration of the managing director)
