Corporations

Authentication is required:

Public limited company:

• Draft articles of association on the occasion of successive formation (Article 281 para. 1 PGR) or public document of incorporation including articles of association in the case of simultaneous incorporation (Article 288 PGR);
• All resolutions of the general meeting or the administration, which cause an amendment of the articles of association (Article 305 PGR), in particular conversions without liquidation in other legal form;
• Terms of merger (Article 351a para 3 PGR)
• Dissolution (Art. 177 para 1 PGR)

Partnership limited by shares:

• The provisions on the public limited company apply (Article 368 para. 3 PGR)

Limited liability company:

• For formation articles of association are required (Article 390 para 1 PGR)
• Assignment of a company share (Article 403 para. 4 PGR)
• Amendment of the articles of association (Art. 419 para. 1 PGR)
• Dissolution (Art. 177 para 6 PGR)
• Conversion without liquidation (Art. 425 PGR)

The Office of Justice does not draw up deeds or contracts, except drawing up the public deeds required by law and providing assistance with the submission.
